Terms of Service
Last updated: October 18, 2026
Agreement to Terms
These Terms of Service govern your use of Codeo3 — the web platform at codeo3.com, the Codeo3 desktop application, and related services — operated by Gold Fleece Ltd. (“Codeo3”, “we”, “us”). By accessing or using the service you agree to these terms and our Acceptable Use Policy. If you do not agree, do not use the service.
We may modify these terms from time to time. Material changes will be signposted through the service; continued use after changes take effect constitutes acceptance.
The Service
Codeo3 is a development workspace: CodeBuilder (the project editor with Blocks, Objects, and live rendering), AskCodeo (the built-in AI assistant and optional C3 Local on-device inference), C3 Cinema, Codeo Chat collaboration, Tools, and the desktop app that connects projects to real folders on your computer. Features may be added, changed, or removed as the product evolves.
Accounts and Eligibility
- You must be at least 13 years old, and meet any higher minimum age that applies where you live.
- Provide accurate registration information and keep your credentials secure — you are responsible for activity under your account.
- Signed-out visitors receive limited guest access; some features require an account, a paid membership, or the desktop app.
Your Projects and Content
You own your projects. You retain all rights to the code, scenes, and other content you create or upload. You grant Codeo3 a non-exclusive license to host, store, render, display, and distribute that content as needed to operate the service — including making published projects publicly accessible.
Publishing is public. When you publish a project it becomes publicly accessible, and where remixing is enabled, other users may copy and build upon it with attribution. Do not publish content you are not comfortable sharing publicly.
Collaboration. Shared-project collaborators gain the access their role allows; project owners control membership and publishing. Direct messages and project conversations are visible to their participants.
You represent that you own or have the rights to the content you submit, that it does not infringe third-party rights, and that it complies with our policies.
AI Features and Generated Content
AskCodeo generates code and other content from your prompts. As between you and Codeo3, AI-generated output produced for your account belongs to you, subject to these terms. AI output may be incorrect, insecure, or similar to output produced for others — you are responsible for reviewing, testing, and validating generated content before using or publishing it.
C3 Local AI runs inference on your own device; results are equally your responsibility. AI features are provided as-is without guarantees of accuracy, fitness, or non-infringement.
Subscriptions and Payments
Certain features — including AskCodeo Membership — are offered as recurring subscriptions processed by Stripe. The recurring price and renewal frequency are displayed before purchase, and subscriptions continue until cancelled. You can manage or cancel through Settings → Billing; cancellation stops future charges and does not retroactively reverse charges already incurred, except where required by law.
Marketplace purchases are final except where required by law. Historical passes and legacy subscriptions remain honored until they expire or are revoked.
Desktop App and Local Files
The desktop app reads and writes files only inside project folders you authorize. Early Access builds are provided as-is; update prompts and release channels may change. The Microsoft Store package is updated through the Store; direct-download builds update through the in-app updater.
You are responsible for your local project folders and for third-party tools (editors, AI agents, the codeo3 CLI/agent bridge, or MCP integrations) you connect to them.
Acceptable Use
You agree not to misuse the service — including by violating laws, infringing others' rights, distributing malware, abusing AI features, scraping or attacking the platform, or harassing other users. The full rules are in our Acceptable Use Policy, which is part of these terms.
Moderation and Termination
We may suspend or terminate accounts, remove content, limit access, investigate violations, and cooperate with law enforcement where required — for example for violating these terms, fraudulent or abusive activity, or legal non-compliance.
You may stop using the service at any time and may request account deletion as described in the Privacy Policy. Termination does not relieve obligations incurred beforehand.
Intellectual Property
The Codeo3 platform — its software, design, branding, and documentation — is owned by Gold Fleece Ltd. and protected by intellectual-property laws. These terms do not grant you rights to our marks or platform code except as needed to use the service.
Disclaimers
The service is provided “as is” and “as available” without warranties of any kind, express or implied, including accuracy, reliability, uninterrupted operation, security, or fitness for a particular purpose. Community and AI-generated content is not endorsed or verified by Codeo3 — evaluate it independently.
Limitation of Liability
To the maximum extent permitted by law, Codeo3 is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or related to your use of the service.
Dispute Resolution
Disputes will be resolved through, in order: good-faith negotiation, mediation if negotiation fails, and binding arbitration as a final resort.
These terms are governed by the laws of Canada, without regard to conflict-of-law principles.
